
ADQ plans to acquire the remaining shares in AD Ports Group through a voluntary conditional cash offer.
AD Ports Group said it received notification of the planned offer from L’IMAD Holding Company, a sovereign investor of the Government of Abu Dhabi.
L’IMAD intends to make the offer through its wholly owned subsidiary, Abu Dhabi Developmental Holding Company (ADQ).
ADQ already owns 75.42% of AD Ports Group.
ADQ offers AED 6.25 per share
Under the proposed offer, ADQ would pay AED 6.25 per share for the AD Ports Group shares it does not already own.
The price represents a 23% premium to the company’s closing share price of AED 5.10 on 14 August 2026.
It is also 25% above the one-month volume-weighted average price (VWAP) of AED 5.02. Meanwhile, it represents a 31% premium to the three-month VWAP of AED 4.76.
AD Ports Group listed on the Abu Dhabi Securities Exchange in February 2022 at AED 3.20 per share. Therefore, the proposed offer price represents a 95% premium to the listing price.
AD Ports board to review the offer
The matter will now be presented to the AD Ports Group Board of Directors.
The Group will then follow the required procedures under the UAE rules for acquisitions and mergers of public joint stock companies.
At this stage, L’IMAD has notified AD Ports Group of its intention to submit the offer. The proposed transaction has therefore not yet been completed.
AD Ports Group said it will announce any material developments in due course.
