TT Club and UK P&I Club secure member approval for merger

TT Club and UK P&I Club have secured approval from their members for a proposed merger that will bring together two major insurance organisations serving the global maritime, container and logistics industries.

The decision was confirmed following separate Special General Meetings held on 7 and 8 October 2026. The merger is scheduled to take effect on 20 February 2027, subject to the necessary regulatory approvals.

The combined organisation will operate under a new parent company, United Transport Mutual Limited (UTM), with annual premium income of approximately US$750 million and free reserves of around US$888 million.

Combined group to cover shipping, ports and logistics

The merger will bring together the UK P&I Club’s marine insurance operations and TT Club’s activities across container transport, ports, terminals and logistics.

According to the organisations, UK P&I Club insures more than 250 million tonnes of owned and chartered shipping tonnage, while TT Club provides insurance coverage for 80% of the world’s container fleet.

TT Club also has an insurable interest in more than 70 of the world’s 100 largest ports, giving the proposed group a substantial presence across maritime transport and cargo handling operations.

The two organisations expect the combination to strengthen their financial resources and expand access to specialist expertise in underwriting, claims management and loss prevention.

The merger is also expected to generate an overall 5% improvement in the combined ratio, a key measure of underwriting performance.

Despite the integration, both clubs will retain their existing names, brands and market positions. Their members will continue to be served by their respective underwriting, claims and service teams.

United Transport Mutual to oversee combined operations

United Transport Mutual will serve as the parent company, overseeing group governance, capital management, regulatory compliance and shared operational functions.

The new structure will allow TT Club and UK P&I Club to maintain their individual insurance products and underwriting approaches while operating within a broader mutual insurance group.

UTM is also expected to become the parent entity for the acquisition of Thomas Miller Holdings, the insurance management business associated with the clubs.

Thomas Miller’s shareholders have accepted the joint acquisition offer, although the transaction remains subject to regulatory approval.

The organisations said the proposed acquisition would bring the management business under mutual ownership as part of the wider restructuring.

Leadership appointments announced

Niels Smedegaard has been appointed Chairman of United Transport Mutual, with Morten Engelstoft and Jan Valkier serving as co-Chairs.

Andrew Taylor will become Chief Executive Officer of UTM, while William Beveridge will succeed him as Chief Executive Officer of UK P&I Club. Kevin King will remain Chief Executive Officer of TT Club.

The leadership changes will take effect through a phased transition as the merger progresses.

Morten Engelstoft, Chairman of TT Club, said the combination reflects the increasingly interconnected risks facing shipping, ports, terminals and logistics businesses.

The organisations confirmed that existing arrangements with members, brokers and clients will remain unchanged during the transition.

The merger remains subject to regulatory approvals before its planned completion in February 2027.
